Terms & Conditions
These terms and conditions constitute a binding contract between you and My Friend's Basement LLC for participation in the Friends Program. By checking the terms and conditions checkbox and paying for any membership level, you accept the terms outlined below.
Introduction
My Friend’s Basement LLC (also known as “My Friend’s Basement” and/or “studio”) will provide the client—defined as the individual(s) who have submitted their personal identification information during the membership checkout process and have checked the box indicating agreement to these terms and conditions, as well as any business partner or podcast co-host—with studio space and related marketing services in accordance with the specifications set forth below. This contract begins on the date the client accepts these terms and conditions.
Terms & Conditions
The following rates and terms apply:
Rates
Client agrees to pay the following rates based on the subscription/membership level selected:
Level 1 - Friends Program: $100 per month
Level 2 - Friends Program+: $150 per month
Level 3 - BFF: $750 per month
Level 4 - Full Production: $2450 per month
Level 5 - 4K Production: $3250 per month
Services
By paying for a membership, the client gains access to the following services based on the selected level:
Level 1 - Friends Program provides the following services:
- Access to Friends Program pricing provided to the client by the studio through a custom calendar
- In-studio engineer to oversee all equipment setup and start and stop recordings
- In-studio connection to remote guests
- On-mic producer from the engineer's desk. This does not include producers doing research for you or pulling up videos.
- Add on intro and outro to the recording before exporting the file if the client provides the relevant files to the studio. The studio will not create intros and outros for client.
Level 2 - Friends Program+ provides the following services:
- Everything listed in Level 1 - Friends Program
- Access to a booking calendar that allows clients to book up to three (3) hours before their recording time. Client can cancel these recordings up three (3) hours before the recording and receive a full refund. If client does not cancel three (3) hours before their recording, they will receive no refund.
- 24-hour turnaround for recorded audio and video files
- Basic editing: the studio will remove 1–5 small sections of content in an episode that the client points out during or immediately following a recording. This does not include adding any transition sounds or images, or rearranging sections of the show. If the editing takes more than 15 minutes, the client must pay for additional editing services.
Level 3 - BFF
- Everything listed in Level 1 - Friends Program and Level 2 - Friends Program +
- Up to five (5) social media clips per month. These clips can be up to 75 seconds long, but not longer. The studio will add captions and B-roll to the clips. Clips will be delivered within five business days after the episode is recorded.
- Posting your podcast episode on your behalf on up to three platforms per week. The client must provide the studio with all log-in information for these platforms. The studio is not responsible for any work on these platforms beyond posting on your behalf.
- Studio writes the episode description.
- Studio writes the episode title.
- Creating an episode thumbnail from a template. Thumbnails should take an editor no more than 20 minutes to create. If the client needs a thumbnail that requires a competent designer for more than 20 minutes, the client must pay for the extra time.
- Access to the studio's green room for the duration of the recording, plus 15 minutes before and 15 minutes after the recording. The green room will be stocked with refreshments for the client, with refreshments chosen by the studio.
Level 4 - Full Production
- Everything listed in Level 1 – Friends Program, Level 2 – Friends Program +, and Level 3 – BFF is included, except 24-hour file delivery.
- An in-studio producer is provided to conduct real-time research and pull up clips for the client during a recording.
- A full-time editor will perform a detailed edit of up to five (5) episodes per month. Editing includes (but is not limited to) adding transitions, inserting clips from the internet (provided they do not infringe on any copyright laws), and smoothing out camera transitions. This editing does not include creating visuals from scratch—such as graphic design, Photoshop images, animations, etc.—and any such services will incur additional charges.
- Editing and posting an extra five to ten (5–10) minute long clip from the episode for YouTube, up to five times per month.
- Creating one thumbnail from a template for each extra YouTube video.
24-hour file turnaround is not included in this subscription because the detailed editing will likely take longer than 24 hours to complete. File turnaround times will be mutually agreed upon by all parties once the package is purchased.
Level 5 - 4K Production
- Everything listed in Level 1 – Friends Program, Level 2 – Friends Program +, Level 3 – BFF, and Level 4 – Full Production is included, except 24-hour file delivery.
- All video files are delivered in 4K.
- Access to the studio's green room for the duration of the recording, plus 30 minutes before and 30 minutes after. The green room will be stocked with refreshments for the client, with selections made by the studio.
24-hour file turnaround is not included in this subscription because it will likely take an editor more than 24 hours to complete the edit of the client's podcast. File turnaround times will be mutually agreed upon by all parties once the package is purchased.
Payment
Initial Payment: One hundred percent (100%) of the subscription payment for the chosen level is due at the time of signing up for the membership.
Recurring Payments: Recurring payments happen every month. On the anniversary date of the initial sign-up, the client will be charged for the subsequent month’s subscription. If the anniversary date falls on the last day of the month and the following month does not include that date—for example, if the sign-up date is January 31—then the subscription fee may be charged on the last day of that month (February 28 or 29, as applicable).
Payment Method & Failure: Payment will be automatically withdrawn from the payment method provided by the client, and the client authorizes the studio to pre-authorize cards for payment. If payment fails after three automatic attempts, the membership will be canceled and the client will lose access to all services associated with the membership.
Refunds
All subscription fees become non-refundable five (5) days after the payment is processed. If a cancellation request is made within five days of processing, a full refund may be issued. After this period, subscriptions are non-refundable. For cancellations made after the 5-day period, access to services will continue until the end of the current billing cycle, but no pro-rated refunds will be provided. In the event of billing errors or issues with service delivery, clients should contact the studio promptly to discuss potential remedies.
Upgrading Membership
The client may upgrade their membership at any time by selecting a higher tier through the subscription portal link:
https://billing.stripe.com/p/login/eVa1577Jcfn3cgMdQQ Upon upgrading, the new membership benefits become effective immediately. If the upgrade occurs mid-payment period, the fee difference for the remaining portion of that billing period will be calculated on a prorated basis. The client will be charged the upgraded membership rate on the next billing cycle. No refunds or credits will be provided for the difference in rates for the current period once the upgrade has been processed.
Canceling Membership
The client may cancel their membership at any time by using the subscription portal link:
https://billing.stripe.com/p/login/eVa1577Jcfn3cgMdQQUpon cancellation, the contract will remain in effect until the end of the current billing period, and no refunds will be issued for any remaining days within that period. Continued access to membership benefits will cease after the expiration of the current payment period.
Editing Revisions
Studio will provide two revisions per deliverable at no cost to the client. Any additional revisions will be billed at $50 per hour and payment is due within one week of notification.
If this bill remains unpaid for 15 days, the studio will pause sending all deliverables to the client. The client's membership fee will continue to be charged after this pause unless the client cancels their membership.
Additional Services
Clients may request additional services beyond those provided in their selected membership package. The pricing for any such additional services shall be mutually agreed upon by both parties prior to the commencement of those services. Payment in full for the additional services must be received before any work begins.
Outsourcing Work
The studio is permitted to outsource any work required outside of recordings. This includes, but is not limited to, video editing, clip editing, and thumbnail editing.
Non-exclusive Relationship & Client Ownership
Signing this document does not establish an exclusive relationship between My Friend’s Basement and client. Both client and My Friend’s Basement retain the right to work with other parties at their discretion. Clients retain full ownership of content they create while utilizing the recording studio provided by My Friend’s Basement.
Alignment with Standard Booking Terms & Conditions
All details regarding the booking of studio time—including file delivery, file storage, and cancellation—are set forth in the standard booking terms and conditions, which are hereby incorporated by reference. The client may review these standard terms at
myfriendsbasement.studio/terms-and-conditions.
By agreeing to these terms and conditions in this contract, the client acknowledges and agrees that these standard booking terms remain in effect unless expressly modified by a specific membership level offering.
In the event of any conflict between the standard booking terms and the provisions of a membership level, the membership terms shall govern only to the extent expressly provided. Any amendments or updates to the standard booking terms will be communicated to the client via email, and such changes will apply prospectively from their effective date.
This section remains in effect for the duration of the client’s membership.
Indemnification & Limitation of Liability
The client agrees to indemnify, defend, and hold harmless My Friend’s Basement, its affiliates, officers, agents, and employees from any and all claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with the client’s use of the services, breach of these Terms and Conditions, or violation of any applicable law. In no event shall My Friend’s Basement be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to these Terms and Conditions or the client’s use of the services, even if advised of the possibility of such damages.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged in connection with the services provided under these Terms and Conditions. This obligation shall not apply to information that is publicly available or that is independently developed by the receiving party without reference to the disclosing party’s confidential information.
Force Majeure
My Friend’s Basement shall not be liable for any failure to perform its obligations under these Terms and Conditions if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, governmental regulations, fires, floods, earthquakes, civil unrest, or any failure of its suppliers, subcontractors, or carriers to perform their obligations.
Amendment & Waiver
My Friend’s Basement reserves the right to update or amend these Terms and Conditions at any time by posting the updated version online and notifying clients by email. Continued use of the services following such notification constitutes acceptance of the amended terms. No waiver of any term or condition shall be effective unless in writing and signed by an authorized representative of My Friend’s Basement. The failure of either party to enforce any provision of these Terms and Conditions shall not constitute a waiver of future enforcement of that provision or any other provision.
Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York. In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter amicably through mediation. If mediation fails to resolve the dispute, the matter shall be submitted to binding arbitration conducted in New York. The arbitrator(s) shall be selected by mutual agreement of the parties. If the parties are unable to agree on an arbitrator within 30 days after a request for arbitration is made, then either party may request that an arbitrator be appointed in accordance with procedures established by the New York State Unified Court System. The decision of the arbitrator(s) shall be final and binding on all parties.
Entire Agreement & Severability
These Terms and Conditions, together with any policies or documents referenced herein, constitute the entire agreement between the client and My Friend’s Basement with respect to the subject matter herein and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral. If any provision of these Terms and Conditions is held to be invalid or unenforceable under applicable law, such provision shall be modified to reflect the parties’ intent, and the remaining provisions shall continue in full force and effect.
Termination of Contract
The client may terminate this contract at any time by canceling their membership. In such cases, the contract will remain in effect until the last day of the client’s current payment period.
My Friend’s Basement reserves the right to terminate this contract at any time for any reason. If My Friend’s Basement terminates the contract, the client will receive a prorated refund for any unused days within the current payment period.
